Terms of Use

Last updated: October 21, 2026

1. Acceptance

By creating an account or using Brainside (the "Service"), operated by KIRLIA IA LTDA, CNPJ 64.911.533/0001-08, you agree to these Terms of Use. If you do not agree with any part, do not use the Service.

These terms are an agreement between you ("User") and KIRLIA IA LTDA ("Brainside", "we").

2. The Service

Brainside is a memory and knowledge management platform with artificial intelligence. It includes, among other features:

  • Personal memory (Brain Node), with notes, decisions and links between them;
  • Data apps built from a description (Knowledge Apps), with records, tables and charts;
  • Chat and voice with your data;
  • Agents with their own knowledge base;
  • Scheduled routines and automations;
  • Capturing and reading documents, images and audio;
  • Connectors to third-party services (such as Gmail, Google Calendar and Google Drive);
  • Connecting third-party AI assistants over MCP (Section 8).

The Service is offered as a web application that can be installed on your phone and computer. Your data belongs to your account; you can share specific apps with other people.

3. Account

  • Provide true and up-to-date information.
  • You are responsible for keeping your access secure and for how you use your account, including what you ask the AI assistants you connect to do. This does not cover security failures of the Service itself, which are our responsibility.
  • Tell us immediately about any unauthorized use at suporte@brainside.ai.
  • The minimum age to use the Service is 18.

4. Access, plans and payments

  • Brainside is in closed beta: access is by invitation.
  • During the beta, use is free. The Service may measure AI resource consumption for limits and planning.
  • If we start offering paid plans, prices and conditions will be announced at least 30 days in advance, and nothing will be charged without your express subscription.

5. Acceptable use

You agree not to:

  • Store, publish or transmit content that is illegal, defamatory, threatening, abusive or that violates others' rights;
  • Use the Service for spam, phishing or unsolicited communications;
  • Reverse engineer or try to extract the Service's source code;
  • Abuse the API, the MCP server or the Service's resources in a way that harms other users or the infrastructure;
  • Try to access other people's accounts or unauthorized areas;
  • Use automated tools to access the Service outside the integrations we offer (such as MCP) without authorization;
  • Circumvent security measures or technical limits.

Violations may lead to suspension or termination of the account.

6. Intellectual property

  • Your content is yours. You grant us a limited, non-exclusive, revocable license to process it solely to provide the Service.
  • The platform — code, design, brand and documentation — belongs to KIRLIA IA LTDA and is protected by law.
  • We grant you a personal, limited, non-exclusive, non-transferable license to use the Service under these terms.

7. Artificial intelligence

  • AI-generated results are suggestions, not guarantees. AI can be wrong, make up information that is not in your data, carry biases or misread context.
  • Review and confirm any AI-generated content before using it to decide or act. We are not liable for consequences of using it without that check.
  • You keep the rights to content generated from your instructions and your data.
  • We do not use your data to train AI models. Details in the Privacy Policy and the AI Notice.

8. Connecting third-party AIs (MCP)

You can connect Brainside to third-party AI assistants that speak MCP, such as Claude, Claude Code, ChatGPT and Codex. When you do:

  • You authorize the connection via OAuth, with your login, and can revoke it anytime in Settings → Connected AIs, which cuts off access immediately, or by asking at privacy@brainside.ai. You can also disconnect Brainside in the assistant.
  • Brainside is responsible for its own Service: keeping your data secure, enforcing your account's permissions and logging writes in the audit trail.
  • The external assistant is a third-party service governed by its provider's terms. Brainside does not control, and is not responsible for, what that provider does with the data the assistant reads. It is up to you to choose the assistant, decide what to ask it and review the content it writes to your account at your request. Notes and records it writes on its own are logged in the Brain Node history or in the audit log of the App it wrote to, even if it doesn't tell you, and you can review, edit or delete them at any time. Links it creates between notes show up in the Brain Node graph. This does not remove Brainside's responsibilities described in the previous item or those set by law.
  • If you leave the option that lets the assistant write to your Brainside checked on the authorization screen, you authorize the assistant to save things on its own. Brainside instructs it to tell you what it saved and to ask for your confirmation before replacing or deleting anything that already exists (it may add text to a note or fill in an empty field on its own, and tell you), and before saving sensitive data (such as health, religion, identity documents or bank details), content from an external source (an email, a web page, or someone else's file or message) or data belonging to a client or employer. An external assistant may not follow these instructions (see the AI Notice, Section 4), so check what it tells you and review what was saved. You can uncheck the option when connecting, for a read-only connection, and revoke access anytime in Settings → Connected AIs, which cuts off access immediately.
  • Review the actions the assistant proposes, especially those that change or delete data.

9. Privacy

The processing of your personal data is described in the Privacy Policy, which complements these terms.

10. Availability

  • We aim to keep the Service available, but we do not guarantee uninterrupted operation.
  • We may perform maintenance, preferably at low-usage times.
  • We may modify, suspend or discontinue features, with reasonable prior notice when possible.
  • We are not liable for downtime caused by acts of God or force majeure, such as natural disasters, or by acts solely of third parties beyond our reasonable control.

11. Limitation of liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available", without express or implied warranties.
  • We are not liable for indirect, incidental, special or consequential damages, including lost profits or business interruption.
  • Where the law allows liability to be limited, our total liability is limited to the greater of: (a) the total you paid us in the 12 months before the event; or (b) R$ 500.00 (five hundred Brazilian reais).

Nothing in these terms removes rights the law grants you as a consumer.

12. Suspension and termination

  • We may suspend or terminate your account if you violate these terms.
  • You can close your account whenever you want by requesting deletion at privacy@brainside.ai.
  • After termination, your data is handled as described in Section 9 of the Privacy Policy.

13. Changes to these terms

We may update these terms. For relevant changes, we will notify you by email or in the Service at least 15 days in advance.

If you do not agree with the changes, close your account before they take effect. Continued use after that means acceptance.

14. Governing law and venue

These terms are governed by the laws of Brazil. The courts of Belo Horizonte/MG are chosen as venue, except for the consumer's domicile where the law guarantees it.
